Beta Terms
Last updated November 5, 2026
These Beta Terms (the “Terms”) are a binding agreement between you and Lensentra LLC, a Texas limited liability company (“Lensentra,” “we,” “us” or “our”). They govern your access to and use of the Lensentra software and related services (the “Service”) during its beta period. Our Privacy Policy forms part of these Terms.
Please read these Terms carefully. Sections 16, 17, 18 and 19 disclaim warranties, limit our liability, require you to indemnify us, and waive your right to a jury trial and to bring class actions.
1. Acceptance and Eligibility
These Terms apply to each person or business that applies for a beta seat or creates a Lensentra account (an “Account Holder,” also called “you”), and to staff the Account Holder adds to the account. They do not apply to an Account Holder’s clients, who use client-facing features such as galleries, contracts, questionnaires and the client portal at the Account Holder’s invitation.
By applying for a beta seat or creating an account, you accept these Terms. You represent that you are at least 18 years old, that you are using the Service for a genuine photography business and not for personal, family or household purposes, and that you have authority to bind any business on whose behalf you act. In that case, “you” includes that business.
2. Beta Service
The Service is a pre-release product under active development and testing. Features may be changed, suspended or withdrawn at any time, and the Service may contain errors, experience interruptions or lose data. We provide no service levels and no support commitment during the beta.
You are solely responsible for keeping your own copies of your original photographs, contracts and business records. Do not rely on the Service as your only copy of anything you cannot afford to lose.
3. Beta Seats
- Seats are limited, and every application is reviewed. We may decline any application for any lawful reason.
- Testers are expected to use the Service and provide feedback. We may reassign inactive seats.
- If we remove you from the beta, your seat is released immediately and your account closes 30 days later. You should download your data during that period. Section 11 applies instead if we terminate your access for a violation of these Terms.
4. Fees and Beta Discount
The Service is free during the beta, and no payment card is required. Testers in good standing when paid plans launch will receive a permanent discount of 30% off the standard price of a paid plan, for as long as Lensentra offers paid plans. A tester is in good standing if the account was accepted into the beta and has not been suspended or terminated for violating these Terms. The discount applies to any paid plan and continues if you change plans. If you cancel, you keep the discount if you return before your account is deleted, and it ends when your account is deleted.
The discount is available only to testers accepted into the beta before paid plans launch. It is not available to accounts created after that date, and it may not be transferred to another person or business.
We will not charge you unless you select a paid plan and agree to its price and terms. Any statement about offering free plans in the future is a goal and not a commitment. Paid plans, including billing, renewal, cancellation and refunds, will be governed by separate terms.
5. Accounts and Security
- You must provide accurate information and keep it current.
- You must keep your credentials confidential, and you are responsible for all activity in your account, including the acts and omissions of your staff.
- You must notify us promptly of any unauthorized access to or use of your account.
6. License to Use the Service
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the beta, including offering client-facing features to your clients. You are responsible for your clients’ use of those features. All rights not expressly granted are reserved.
7. Your Content
As between you and Lensentra, you retain all rights in the photographs, client records, contracts, website materials and other content you submit to the Service (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, process, display and transmit Your Content solely as necessary to provide and secure the Service and to carry out your instructions. This license ends when Your Content is deleted, except for copies we must retain by law or in connection with a review described in our Privacy Policy, and except for residual backup copies until they are overwritten.
You represent and warrant that you hold all rights, licenses and permissions necessary for Your Content and its use in the Service, including client consents, the consent of parents or guardians for minors, model releases, and any notices the law requires you to give your clients.
You may export your data from Settings → Your data at any time while your account is open or during its download period.
8. Your Business and Your Clients
- Controller of client information. You determine what client information you collect and how you use it, and you are responsible for complying with the privacy laws that apply to you. We process that information on your behalf and at your direction.
- Contracts and templates. Contracts, proposals and sample wording in the Service are starting points only. They have not been reviewed by an attorney for your circumstances and are not legal advice. You should have your own attorney review them. You are responsible for determining whether an electronic signature is appropriate and enforceable for your purposes.
- Financial and tax tools. Records, sales tax figures, mileage logs and summaries are provided for your convenience and are not tax, accounting or financial advice. You are responsible for verifying them, charging and remitting the correct tax, and making all required filings.
- Your clients. Your agreements with your clients are solely between you and them, and Lensentra is not a party to them. You are solely responsible for your services, bookings, refunds, deliveries and disputes, and for your clients’ use of client-facing features.
9. Payments From Your Clients
Where card payments are available, you connect your own Stripe account and funds pass directly from your client to you. Stripe’s terms apply, and you are responsible for Stripe’s fees, refunds, chargebacks and disputes. Other payment methods, such as Zelle, Venmo, checks and cash, take place outside the Service, which merely records what you enter. Lensentra is not a bank, money transmitter or payment processor and does not hold your funds.
10. Email and Acceptable Use
When you send email through the Service, you must comply with anti-spam laws, including the CAN-SPAM Act, send marketing only to recipients who have opted in, and honor unsubscribe requests. We may limit, delay or suspend sending to protect deliverability.
You may not use the Service to:
- Upload, store or share child sexual abuse material or any content that sexualizes a minor. We have zero tolerance for such content.
- Share intimate images of any person without that person’s consent, or images of any person taken in a private place without that person’s knowledge.
- Violate any law, or harass, threaten, defraud or impersonate any person.
- Infringe or misappropriate any copyright, trademark, privacy, publicity or other right.
- Distribute spam, phishing or malware.
- Gain unauthorized access to, disrupt, overload, scrape or reverse engineer the Service, circumvent its limits or security, or access another studio’s data.
- Develop a competing product by copying the Service, or resell or sublicense the Service without our written permission.
11. Reports, Review, Suspension and Termination
Anyone may report a website hosted on the Service. Reports may be reviewed by us or by automated tools acting for us. If content appears to violate these Terms or presents a risk, we may take a website or account offline for review without notice. During a review, your data is preserved as evidence and nothing is deleted.
We may suspend or terminate your access at any time if you violate these Terms, if required by law, or as necessary to protect any person or the Service. On termination, we will ordinarily allow 30 days for you to download your data, but we may decline to do so where content is unlawful or a violation is serious. We report apparent child sexual abuse material to the National Center for Missing & Exploited Children and to law enforcement, and we cooperate with valid legal process.
12. Account Closure and Discontinuation
The account owner may close the account at any time from Account → Close account. The account then becomes view-and-download only, and your website goes offline immediately. You have 30 days to download your data or reopen the account. After that period the account cannot be reopened and will be permanently deleted. During the beta, our staff perform this final step manually, so deletion may occur some time after the 30-day period ends. Deleted data cannot be recovered.
We may discontinue the beta or the Service at any time. If we do, we will endeavor to give at least 30 days’ notice so that you can download your data.
13. Copyright Complaints
We respond to notices of claimed infringement under the Digital Millennium Copyright Act. If you believe material on the Service infringes your copyright, send a notice to our designated agent:

Your notice must contain:
- your physical or electronic signature, or that of a person authorized to act for the copyright owner;
- identification of the copyrighted work, or a representative list if your notice covers multiple works at one site;
- identification of the allegedly infringing material and information reasonably sufficient for us to locate it;
- information reasonably sufficient for us to contact you, such as your address, telephone number and, if available, email address;
- a statement of your good-faith belief that the use is not authorized by the owner, its agent or the law; and
- a statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act for the owner.
If your material was removed and you believe that was the result of mistake or misidentification, you may send a counter-notice to our designated agent containing:
- your physical or electronic signature;
- identification of the material that was removed and where it appeared before removal;
- a statement, under penalty of perjury, of your good-faith belief that the material was removed as a result of mistake or misidentification; and
- your name, address and telephone number, a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if your address is outside the United States, any judicial district in which Lensentra may be found), and a statement that you will accept service of process from the person who submitted the original notice or that person’s agent.
We terminate the accounts of repeat infringers in appropriate circumstances.
14. Feedback and Our Rights
If you send us ideas, suggestions, feedback or bug reports, we may use them for any purpose without payment or obligation to you. This gives us no rights in your photographs or client information. The Service, including its software, design and the Lensentra name and marks, is owned by Lensentra LLC and protected by intellectual property laws.
15. Third-Party Services
The Service interoperates with third-party services, such as Stripe, domain registrars and email providers. We do not control and are not responsible for those services, and their own terms apply. Custom domains and business mailboxes are purchased separately.
16. Disclaimer of Warranties
THE SERVICE IS A FREE BETA PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, LENSENTRA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE OR THAT DATA WILL NOT BE LOST.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LENSENTRA LLC AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BOOKINGS, GOODWILL OR DATA, INCLUDING LOST PHOTOGRAPHS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, INCLUDING NEGLIGENCE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR US$100.
These limitations are an essential basis of our agreement and apply even if a remedy fails of its essential purpose. Some jurisdictions do not permit certain limitations, so they may not all apply to you.
18. Indemnification
You will defend, indemnify and hold harmless Lensentra LLC and its owners, members, officers, employees and contractors from and against all claims, damages, losses, liabilities and costs, including reasonable attorneys’ fees, arising out of or relating to Your Content, your business, your dealings with your clients, or your violation of these Terms or of any law or third-party right.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Before filing any claim, you agree to give us written notice by email, and both parties will attempt in good faith to resolve the dispute within 30 days. Any dispute not so resolved must be brought exclusively in the state courts located in Tarrant County, Texas, or the United States District Court for the Northern District of Texas, Fort Worth Division, and each party consents to the personal jurisdiction and venue of those courts.
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY, AND ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
20. General Provisions
- Changes. We may modify these Terms by posting the change and revising the date above. If a change is material, we will notify you by email or in the app before it takes effect. Your continued use of the Service after that date constitutes acceptance.
- Electronic communications. You consent to receive notices electronically, and you agree that electronic notices and acceptance satisfy any requirement that they be in writing.
- Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization or sale of the business.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.
- Relationship. The parties are independent contractors. These Terms create no partnership, agency or employment relationship and no third-party beneficiaries.
- Export and sanctions. You may not use the Service in violation of U.S. export control or sanctions laws.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Lensentra concerning the beta and supersede all prior understandings on that subject.
- Survival. Provisions that by their nature should survive, including Sections 7, 14, and 16 through 20, survive termination or closure of your account.
